Terms of Service

These Terms of Service ("Terms") govern your access to and use of Crosmos, including our websites, the console, the documentation site, the API, the MCP server, the official SDKs, and any related skills or integrations (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Acceptance and beta status

The Service is currently in beta. It is operated by the Crosmos Labs team while we finalize our legal entity. These Terms will be updated to reflect the registered entity once that process is complete. During beta, the Service is offered as-is, may change without notice, and is not appropriate as the only copy of irreplaceable data.

By using the Service, you confirm that you have the authority to accept these Terms on behalf of yourself and, if applicable, your organization.

2. Definitions

  • Account — a registered identity used to access the Service.
  • Customer Data — content, files, conversations, and other materials that you submit to the Service, together with data we derive from them on your behalf.
  • Memory — a unit of information stored in your Memory Space.
  • Memory Space — a logical container that holds your Memories and related data.
  • Service — has the meaning given in the introduction above.
  • Source — content you submit for ingestion into a Memory Space.
  • Subprocessor — a third-party service provider we use to deliver the Service.

3. Eligibility

You may use the Service only if you are at least 18 years old, have the legal capacity to enter into these Terms, and are not located in or ordinarily resident in a jurisdiction subject to a comprehensive embargo by applicable law. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts

You create an Account by signing in through a supported third-party identity provider. You are responsible for activity that occurs under your Account and for keeping your credentials secure. Notify us promptly at support@crosmos.dev if you believe your Account has been compromised.

You agree to provide accurate information and to keep it current. We may suspend or close Accounts that are inactive, abusive, or used in violation of these Terms.

5. Acceptable use

You agree not to:

  • Use the Service to violate any applicable law or the rights of others.
  • Attempt to disrupt, overload, or interfere with the Service or its infrastructure.
  • Probe, scan, or test the vulnerability of the Service except through an authorized program.
  • Reverse engineer, decompile, or attempt to extract the source code of any non-open-source component, except to the extent applicable law expressly permits.
  • Use the Service to develop a competing product or to benchmark it without our prior written consent.
  • Evade rate limits, quotas, or other access controls.
  • Submit malware, attempt prompt-injection attacks against other users, or otherwise abuse the Service.

6. Prohibited data

You agree not to submit the following to the Service:

  • Payment card data subject to PCI DSS.
  • Protected health information that requires a Business Associate Agreement under HIPAA or equivalent laws (we do not offer a BAA at this time).
  • Government-issued identifiers such as national ID, passport, or social security numbers.
  • Personal data of children under the age of majority in your jurisdiction (and never under 13).
  • Material that infringes intellectual property, privacy, or other rights of third parties.
  • Material that is unlawful, defamatory, or designed to harass, exploit, or harm others.

You are responsible for ensuring that you have the rights and any necessary consents to submit Customer Data to the Service.

7. Content and ownership

7.1 Your content

You retain ownership of your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and create derived data from your Customer Data solely as needed to provide, secure, and improve the Service for you. This license terminates when you delete the relevant Customer Data, except for back-up copies and derived data subject to the retention practices described in our Privacy Policy.

Between you and us, you are responsible for the accuracy, quality, and legality of your Customer Data.

7.2 Our intellectual property

The Service, including the underlying software, design, brand, and documentation, is owned by us or our licensors and is protected by intellectual-property laws. No rights in the Service are transferred to you except for the limited right to use the Service in accordance with these Terms.

8. AI and machine learning

We do not use your Customer Data to train, fine-tune, evaluate, or improve any artificial intelligence or machine learning model, whether ours or any third party's. This applies to all AI providers we work with: they receive your Customer Data only to perform the processing you have requested and are not permitted to retain it for model training.

We may compute and use aggregate, anonymized usage statistics (for example, total request counts) for capacity planning and service improvement. These statistics are not derived from the substantive content of your Customer Data.

Outputs from AI features are generated automatically and can be incorrect or misleading. You are responsible for reviewing outputs before relying on them.

9. Third-party service providers

We rely on a limited set of third-party service providers to operate the Service, grouped by function in our Privacy Policy. A current list of named subprocessors is available to enterprise customers on written request to support@crosmos.dev.

10. Service availability and changes

We aim to keep the Service available but do not commit to a service-level agreement during beta. We may add, change, suspend, or discontinue features at any time. We may also impose limits on usage or storage, and may change those limits with notice when reasonably possible.

Beta and experimental features may be unstable, may be discontinued, and may have limits separate from the general Service.

11. Fees

The Service is free during beta. Because no fees are charged during beta, no refunds apply.

If we introduce paid plans, we will provide reasonable notice before charging you, and your continued use of those features will be subject to the published pricing, taxes, and any applicable order terms. See pricing for current plans.

12. Termination

You may stop using the Service at any time by deleting your Account or contacting support@crosmos.dev. We may suspend or terminate your access if you materially breach these Terms, if continued provision of the Service to you would create legal, security, or operational risk, or if we discontinue the Service. Where practical, we will provide notice before doing so.

Sections that by their nature should survive termination — including data licenses already granted, disclaimers, limitations of liability, and indemnities — will survive.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. Indemnification

You agree to defend, indemnify, and hold harmless Crosmos Labs and its team from and against any third-party claims, damages, and reasonable costs (including attorneys' fees) arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law or the rights of a third party.

16. Changes to these Terms

We may update these Terms from time to time. For material changes, we will provide reasonable advance notice — for example by email or an in-product notice — before the changes take effect. Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

17. Governing law and disputes

Because Crosmos Labs is in the process of establishing a registered legal entity, we are not naming a binding governing law or exclusive forum in this version of the Terms. The parties agree to attempt in good faith to resolve any dispute through informal discussion before pursuing other remedies. Once our entity registration is complete, we will publish an updated version of these Terms specifying governing law and dispute resolution.

Nothing in this section limits your rights under any mandatory consumer protection laws that apply to you.
